Either party may initiate such negotiations by providing written notice to the other party. If TTPRO and the User cannot resolve the dispute within [30] thirty days of receiving the notice, the matter shall be referred to arbitration as set forth below.

In the event that informal negotiations fail, any unresolved disputes, claims, or controversies shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Ahmedabad, India, unless there is a mutual agreement to another location. This arbitration will be conducted in English. The arbitral tribunal shall consist of a sole arbitrator appointed by Us. The final apportionment of costs shall be determined by the arbitrator in the arbitral award. The arbitral award shall be final, binding and enforceable in the court of appropriate jurisdiction.

• 16. GOVERNING LAW & JURISDICTION:

  We, and the User agree that any disputes, claims, or controversies arising from or relating to these Terms and Conditions, including, but not limited to, its interpretation, performance, breach, or termination shall be exclusively subject to the jurisdiction of the courts located in Ahmedabad, India. Severability: If any provision of this Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
